Notice

The sale of Products is subject to the Buyer’s agreement to these Terms and Conditions. Any acceptance of the Seller’s offer is strictly contingent upon these Terms. Buyer cannot alter these Terms, and past dealings or industry practices do not apply.

Placing an order signifies acceptance of these Terms. Quotations remain valid for 10 days and may be revised before confirmation.

Definitions

Buyer: Entity purchasing Products or services.

Contract/Order: Agreement including quotation, product details, and acknowledgement.

Sales Price: Price stated in invoice.

Products: Goods supplied by Seller.

Seller: Entity supplying Products/services.

Terms and Conditions: These rules governing the transaction.

Delivery and Shipping Terms

Delivery: Buyer bears shipping and handling costs. Delivery time is approximate.

Inspection: Buyer must notify discrepancies within 10 days.

Ownership: Transfers upon delivery. Buyer handles export documentation.

Storage: If delivery fails due to Buyer, storage charges apply and risk transfers to Buyer.

Risk: Buyer bears all risk once goods are dispatched.

Cancellation: Orders are NCNR (Non-Cancellable / Non-Returnable) unless approved by Seller.

Inspection and Acceptance

Buyer must inspect goods within 5 days. If no complaint is made, goods are considered accepted.

Returns are at Buyer’s expense unless agreed. No returns accepted after 15 days.

Payment Terms

Payment: Advance or Letter of Credit unless agreed otherwise.

Late Payment: Interest at 10% per month applies.

Collection Costs: Buyer pays legal and recovery costs.

Seller may suspend delivery if payment is delayed beyond 10 days.

Buyer cannot withhold payment for disputes. Any dispute must be reported within 30 days.

Warranty

Seller provides a 90-day warranty. After that, Seller holds no responsibility.

Limitation of Liability

Seller is not liable for indirect or consequential damages including loss of profit, revenue, or data.

Total liability is limited to the amount paid for the specific product/service.

Indemnification

Buyer agrees to indemnify Seller against any claims, damages, or legal costs arising from Buyer’s actions or product usage.

Assurance of Performance

Seller may cancel orders or demand advance payment if Buyer faces insolvency or financial instability.

Compliance

Both parties must comply with all laws, including export/import regulations and sanctions.

Seller may suspend delivery if legal requirements are not met.

Governing Law

This agreement is governed by the laws of Mumbai, India.

Severability

If any provision is invalid, remaining provisions will still apply.

Termination for Breach

Seller may terminate the agreement if Buyer:

• Fails to make payment
• Refuses delivery
• Becomes insolvent
• Violates agreement terms

Alterations and Revisions

Seller may modify these Terms. Changes apply to new agreements immediately and to existing agreements after 30 days notice.
